CloudFran Tadari Product Addendum (Site Selection, Real Estate, Market Intelligence)

Effective April 10, 2026 · Governed by Delaware law with Georgia enforceability

This Addendum supplements the CloudFran Terms of Service and is incorporated by reference into the Master Services Agreement. The Unified Payments + Marketplace Addendum also applies to payment-related features.

1. Scope

This Addendum governs the use of CloudFran Tadari, including site selection analysis, market intelligence, demographic insights, and location-based recommendations.

2. Informational Purpose Only

All outputs, recommendations, and analytics are for informational purposes only and do not constitute real estate, financial, investment, or business advice.

3. No Brokerage or Agency Relationship

CloudFran is not a real estate broker, agent, or fiduciary. Use of Tadari does not create any brokerage, agency, or advisory relationship.

4. Site Selection Disclaimer

Location recommendations are based on data models and analytics and are not guarantees of performance, profitability, or success.

5. Franchise Disclosure (FDD / Item 19)

Users acknowledge that any performance-related insights do not constitute a Financial Performance Representation under Franchise Disclosure Document (FDD) regulations unless explicitly stated.

6. Data Accuracy and Sources

Tadari relies on third-party and modeled data, which may be incomplete, outdated, or inaccurate. CloudFran does not guarantee accuracy or completeness.

7. User Responsibility

Users are solely responsible for validating site selections, conducting due diligence, and consulting qualified professionals before making decisions.

8. Real Estate Transactions

Any leasing, purchasing, or real estate agreements are solely between the user and third parties. CloudFran is not a party to such transactions.

9. Fees

Any services or transactions associated with Tadari may include CloudFran platform fees (3.5% + $0.75 where applicable). Fees are non-refundable.

10. Chargebacks and Disputes

CloudFran mirrors payment processor protections, including $15 dispute fees where applicable. Users are responsible for associated losses.

11. International Considerations

Market data and regulatory requirements vary by location. Users must ensure compliance with local laws and conditions.

12. Liability

CloudFran is not liable for business outcomes, financial losses, site performance, or decisions made based on Tadari outputs.

13. Data Usage

User inputs and analytics interactions may be used to improve models, insights, and AI-driven recommendations.

14. Governing Law

This Addendum is governed by Delaware law with Georgia enforceability considerations.

15. Compliance

CloudFran aligns with SOC2, data governance, and audit readiness standards.
